Course overview

Financial due diligence is the work that confirms whether a target business is really worth what a deal assumes. It goes behind the headline profit to ask how sustainable the earnings are, what the business actually owes, how much cash it ties up, and what risks the accounts do not show. This course explains how that analysis is done and how its findings shape price and terms.

The focus is on the analysis a buyer or investor relies on in a transaction: reading financial statements for a deal rather than for routine reporting, testing the quality of earnings, evaluating cash flow and working capital, and translating findings into negotiation points and price adjustments. It treats due diligence as decision support, not a box-ticking exercise.

Why financial due diligence matters

Many deals disappoint because the buyer paid for earnings that were not sustainable or inherited liabilities that surfaced only after completion. Headline profit can be flattered by one-off items, aggressive accounting, or revenue that will not recur, and a price built on those numbers is a price built on sand.

Good due diligence finds these issues before signing, when they can still change the price, the structure, or the decision to proceed. The skill is knowing where value and risk hide in the numbers and how to turn what you find into protection in the deal.
