Course overview
Legal risk is usually managed reactively: a claim arrives, counsel is instructed, the cost is absorbed, and nothing structural changes. Meanwhile the conditions that produced the claim remain in place, which is why the same disputes recur in the same parts of the business, year after year.
This course is about the preventive discipline. It covers five units: the foundations of legal risk management, risk identification and mapping, assessment and analysis, designing mitigation plans, and implementation and monitoring. It is educational and is not legal advice; specific legal questions require qualified counsel.
Where legal exposure is actually created
Not in the legal department. It is created in a sales negotiation where a liability cap is conceded to close a deal, in an HR process where a dismissal is handled badly, in a marketing claim that outruns the evidence, in a supplier arrangement where nobody checked the sanctions exposure, and in a data process that collected more than it needed.
A legal risk plan that lives with counsel and never reaches those people cannot work. The plan has to name the decisions, assign the owners, set the thresholds at which legal must be consulted, and be monitored like any other control.

Unit 2: Risk identification and mapping
- Contractual exposure: liability, indemnities and termination.
- Employment exposure: hiring, dismissal and discrimination.
- Regulatory exposure: data protection and anti-bribery.
- Intellectual property, technology and third-party exposure.
Unit 3: Risk assessment and analysis
- Likelihood, impact, cost of defense and duration.
- Prioritization: material damage against mere irritants.
- Historical analysis: the pattern nobody aggregated.
- Scenario analysis: regulatory action and class claims.
Unit 4: Designing risk mitigation plans
- Contract controls: standard terms, thresholds and limits.
- Process controls: HR, data and third-party due diligence.
- Training for the people whose decisions create exposure.
- Insurance and transfer, with notification obligations.
Unit 5: Implementation and continuous monitoring
- Owners and escalation routes that people actually use.
- Indicators: disputes, claims by category and exceptions.
- Board reporting on legal exposure alongside other risk.
- Review triggers: new markets, products and regulation.
How the course is delivered
The course uses real contracts, disputes, regulatory actions and legal risk registers. Participants map exposures, design mitigation and argue about thresholds in discussion; worked examples take a recurring dispute back to the decision that created it.
