Course overview
Tax is not a separate subject that happens after the finance decision. It is inside the decision. Debt is cheaper than equity partly because interest is deductible. An acquisition structured one way triggers tax that another structure does not. A cross-border royalty flow can be efficient or expensive depending entirely on where the intellectual property sits and whether that placement has substance behind it.
This course covers taxation and corporate finance together across seven units: the fundamentals, tax and capital structure, investment and taxation, transfer pricing and international tax, tax risk and compliance, tax-efficient structures, and future trends. Where tax genuinely changes the answer
In three places, mainly. Capital structure, where the interest deduction lowers the after-tax cost of debt but interest limitation rules cap the benefit. Investment appraisal, where after-tax cash flows and capital allowances change which projects clear. And transactions, where the difference between an asset deal and a share deal can be the difference between a workable price and no deal.
Everywhere else, tax should follow the commercial logic rather than drive it. A structure that exists only for tax reasons, with no substance behind it, is precisely what anti-avoidance rules were written to defeat.
